These Terms & Conditions include an agreement to mandatory and binding arbitration, which means that you agree to resolve any dispute related to your use of Capital Spirits stores or website through binding individual arbitration rather than in court. This agreement also includes a class action waiver, which means that you agree to proceed with any dispute individually and not as part of a class action. This agreement also includes a jury waiver.
You are prohibited from using Capital Spirits stores or website if you do not agree to these terms in their entirety.

1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the Capital Spirits website located at capitalspirits.com (the "Website"), our retail stores located in Connecticut (the "Stores"), and all related services (collectively, the "Services"). The Services are operated by Capital Spirits.
By accessing or using the Services in any manner, whether automated or otherwise, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Services.
We reserve the right to deny access to the Services to anyone who violates these Terms or who, in our sole judgment, interferes with the ability of others to enjoy our Services or infringes the rights of others.
2. Eligibility & Age Requirements
The Services are intended only for individuals who are at least 21 years of age. If you are under 21 years of age, you are not authorized to use or view the Services.
We make every effort to ensure that alcoholic beverages are not sold or delivered to anyone who is under the age of 21. By using the Services, you represent and warrant that:
- You are at least 21 years of age;
- The person placing an order, picking up an order, or receiving a delivery is at least 21 years of age;
- Any alcohol purchased from us is intended for personal consumption and not for resale;
- You will not provide alcohol to any person under the age of 21.
Your representations are critical to your right to use the Services. If you intentionally or unintentionally misrepresent your age in order to obtain or provide alcohol to a person under the age of 21, we may take action to prevent you from accessing the Services and report your misrepresentation to the appropriate authorities.
3. Modifications to Terms
We reserve the right to change these Terms or to impose new conditions on use of the Services from time to time, in which case we will post the revised Terms on the Website and update the "Last Updated" date at the top of this page. By continuing to use the Services after we post any such changes, you accept the Terms as modified.
We encourage you to review these Terms periodically to stay informed of any updates.
4. Privacy Policy
Your use of the Services is also subject to our Privacy Policy, which can be found at capitalspirits.com/policies/privacy. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.
5. Your Account
You may create a personal account to place orders, save your preferences, and access certain features of the Services ("Account"). You can also make purchases without creating an Account; however, you will need to re-enter your information each time.
Account Registration
If you create an Account, you agree to provide truthful, accurate, and complete information about yourself. If we have reasonable grounds to suspect that the information you provide is untrue, inaccurate, or incomplete, we have the right to refuse, suspend, or terminate your Account and any current or future use of the Services.
Account Security
You are responsible for maintaining the confidentiality of your Account username and password and for all activities that occur under your Account. You agree to:
- Immediately notify us of any unauthorized use of your Account or password;
- Ensure that you log out from your Account at the end of each session;
- Not share your Account credentials with any third party.
We shall have no liability associated with or arising from your failure to maintain accurate information or to keep your Account secure.
6. Product Orders & Pricing
Order Validation & Acceptance
After you place an order, we will verify the information you provide for validity and compliance with Connecticut laws and regulations. Your receipt of an order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell.
We reserve the right to accept or decline your order for any reason, including but not limited to:
- Product unavailability;
- Pricing or product description errors;
- Failed age verification;
- Violation of applicable laws or regulations;
- Suspicion of fraud or unauthorized transactions.
If we reject your order, we will attempt to notify you using the email address you provided. Your credit or debit card will normally not be charged if we reject an order, but we will process a refund if the charge has already been made.
Pricing & Availability
All prices are subject to change without notice. We strive to display accurate pricing and product information; however, errors may occur. If we discover a pricing or product description error after you place an order, we will contact you with options, which may include canceling the order.
Product availability varies by location. Limited-quantity or highly-allocated items may not be available in the quantities indicated. We reserve the right, in our sole discretion, to restrict or refuse the sale of any item.
Taxes & Fees
All purchases are subject to applicable Connecticut state and local taxes and fees. The total amount charged to your payment method will include all applicable taxes, delivery fees (if applicable), and any other charges disclosed at checkout.
7. Order Fulfillment & Delivery
In-Store Pickup
All Capital Spirits stores offer in-store pickup. Once confirmed, your order will be prepared and held for pickup at the store you designated. We will notify you via email when your order is ready.
To pick up an order, you must:
- Be at least 21 years of age;
- Present a valid government-issued photo ID;
- Provide your order confirmation number or the email address used to place the order.
If you have not picked up your order within 14 days of placing it, we reserve the right to cancel the order and issue a refund to the payment method used.
Delivery
Delivery is available from select Capital Spirits locations to eligible Connecticut addresses within our delivery service area. Delivery fees may apply and will be disclosed at checkout.
To receive a delivery, you (or your authorized designee) must:
- Be at least 21 years of age;
- Be present at the delivery address;
- Present a valid government-issued photo ID;
- Sign for the delivery.
We reserve the right to refuse delivery if age verification cannot be completed or if the recipient appears to be intoxicated.
Title & Risk of Loss
Title to and ownership of all products pass to you upon purchase. For in-store pickup orders, risk of loss passes to you when you take possession of the products. For delivery orders, risk of loss passes to you upon delivery.
8. Returns & Refunds
Our goal is for all customers to be satisfied with their purchases. Connecticut law and our internal policies govern returns and refunds.
Return Eligibility
Unopened bottles in saleable condition may be eligible for return within 30 days of purchase with the original receipt. Limited releases and allocated items may require manager approval for returns.
Please note that Connecticut law may prohibit returns except where products are spoiled or otherwise unfit for consumption.
Return Process
Before returning any items, please contact us at concierge@capitalspirits.com to confirm eligibility and receive instructions. Approved refunds will be issued to the original payment method after items are inspected.
9. Acceptable Use of Our Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable federal, state, or local law or regulation;
- Misrepresent your identity, age, or affiliation with any person or entity;
- Engage in fraudulent activity or use stolen payment methods;
- Purchase products for resale or commercial purposes without our prior written consent;
- Provide alcohol to anyone under the age of 21 or to any intoxicated person;
- Use automated tools, scripts, bots, or other means to access, scrape, or crawl the Website;
- Interfere with or disrupt the integrity or performance of the Services;
- Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services;
- Transmit any viruses, malware, or other malicious code;
- Reverse engineer, decompile, or disassemble any software used to provide the Services;
- Use the Services in any way that could damage, disable, overburden, or impair our servers or networks.
We reserve the right to investigate and take appropriate legal action against anyone who violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.
10. Intellectual Property
All content on the Website, including but not limited to text, graphics, logos, images, audio clips, video clips, and software (collectively, "Content"), is the property of Capital Spirits or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except as follows:
- Your computer may temporarily store copies of such materials incidental to your accessing and viewing those materials;
- You may store files that are automatically cached by your web browser for display enhancement purposes;
- You may print one copy of a reasonable number of pages of the Website for your own personal, non-commercial use.
You must not:
- Modify copies of any Content;
- Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text;
- Delete or alter any copyright, trademark, or other proprietary rights notices.
If you violate any of these terms, your permission to use the Content automatically terminates, and you must immediately destroy any copies you have made.
11. Third-Party Links & Content
The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Capital Spirits. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that Capital Spirits shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
12. Email & Marketing Communications
By creating an Account or placing an order, you consent to receive transactional and administrative emails from us, including order confirmations, shipping notifications, and account-related notices.
You may also opt in to receive marketing and promotional emails about our products, services, events, and special offers. You can unsubscribe from marketing emails at any time by clicking the "unsubscribe" link in any email or by contacting us at concierge@capitalspirits.com.
Please note that even if you unsubscribe from marketing communications, we will still send you transactional and administrative emails.
13. Termination of Use
We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms;
- Violation of applicable laws or regulations;
- Fraudulent or suspicious activity;
- Request by law enforcement or other government agencies;
- Discontinuance or material modification to the Services (or any part thereof).
Upon termination, your right to use the Services will immediately cease. You are personally liable for any orders placed or charges incurred prior to termination.
All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, or extreme weather;
- War, terrorism, civil unrest, or public emergency;
- Government orders, laws, regulations, or restrictions;
- Labor disputes, strikes, or other industrial disturbances;
- Failures of public or private telecommunications networks, computer systems, or power supply;
- Supplier failures, shortages, or delays beyond our control.
15. Disclaimers of Warranties
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.
THE SERVICES, INCLUDING ALL CONTENT, PRODUCTS, AND MATERIALS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAPITAL SPIRITS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY;
- IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE;
- IMPLIED WARRANTIES OF NON-INFRINGEMENT;
- WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
CAPITAL SPIRITS DOES NOT WARRANT THAT:
- THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
- THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE;
- THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS;
- ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM CAPITAL SPIRITS OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
16. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAPITAL SPIRITS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- ANY DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES;
- ANY DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
- ANY CONTENT OBTAINED FROM THE SERVICES;
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
THE LIMITATIONS OF THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF CAPITAL SPIRITS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES.
17. Indemnification
You agree to defend, indemnify, and hold harmless Capital Spirits, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Services;
- Your violation of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
- Any claim that your use of the Services caused damage to a third party;
- Any content you submit, post, transmit, or make available through the Services;
- Any misrepresentation made by you.
This indemnification obligation will survive termination of these Terms and your use of the Services.
18. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Agreement to Arbitrate
You and Capital Spirits agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND CAPITAL SPIRITS ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
Prohibition of Class Actions
YOU AND CAPITAL SPIRITS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Unless both you and Capital Spirits agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Arbitration Procedure
Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by this section. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.
The arbitration will be conducted in the county in Connecticut where you reside or at another mutually agreed location. For claims of $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic or video conference hearing, or by an in-person hearing.
The arbitrator will have exclusive authority to resolve all disputes, including but not limited to the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or any part of these Terms is void or voidable.
Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in these Terms. If the value of your claim does not exceed $10,000, Capital Spirits will pay all such fees, unless the arbitrator finds that either the substance of your claim or the relief sought was frivolous or brought for an improper purpose.
Informal Dispute Resolution
Before initiating arbitration, you and Capital Spirits agree to first attempt to negotiate any Dispute informally for at least 30 days. To initiate informal negotiations, you must send written notice to Capital Spirits at:

The notice must include your name, address, email address, phone number, a description of the Dispute, and the relief you are seeking. If the Dispute is not resolved within 30 days of receipt of the notice, either party may commence arbitration.
Exceptions
Notwithstanding the foregoing, either party may bring a claim in small claims court if it qualifies for such court and remains in such court.
Governing Law
These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Changes to Arbitration Provision
If Capital Spirits makes any material change to this arbitration provision, you may reject the change by sending us written notice within 30 days of the change to the address listed above, in which case your account with Capital Spirits will be immediately terminated, and this arbitration provision, as in effect immediately prior to the amendments you reject, will survive.
Severability
If any portion of this arbitration provision is found to be unenforceable or unlawful for any reason, (1) the unenforceable or unlawful provision shall be severed from these Terms; (2) severance of the unenforceable or unlawful provision shall have no impact whatsoever on the remainder of the arbitration provision or the parties' ability to compel arbitration of any remaining claims; and (3) to the extent that any claims must therefore proceed on a class, collective, consolidated, or representative basis, such claims must be litigated in a civil court of competent jurisdiction and not in arbitration, and the parties agree that litigation of those claims shall be stayed pending the outcome of any individual claims in arbitration.
19. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Capital Spirits regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral.
Waiver & Severability
The failure of Capital Spirits to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is found to be unlawful or unenforceable, that provision will be deemed severable from these Terms and will not affect the enforceability of any other provisions.
Assignment
Capital Spirits may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.
No Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Capital Spirits.
Notices
Any notices or other communications provided by Capital Spirits under these Terms, including those regarding modifications to these Terms, will be given by posting to the Website or through other reasonable means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
